Version: 1.0
Effective Date: 1st October 2026
These Terms of Service (“Terms”) govern your access to and use of the SecuVeo website, software platform and related services (collectively, the “Services”).
The Services are provided by MSP SecureView LLC-FZ, trading as SecuVeo (“SecuVeo”, “we”, “our”, or “us”).
By accepting these Terms during Account registration or through another recorded electronic acceptance process, the Customer agrees to these Terms and the incorporated Data Processing Agreement (DPA). The person accepting confirms that they are authorized to bind the Customer organization identified by its Account. Where required under Section 4, a separate Data Transfer Agreement must be completed and accepted before platform access is enabled. That agreement forms part of the parties’ agreement once accepted. The Privacy Policy explains our privacy practices and is provided as a notice; acknowledgment does not constitute consent on behalf of individuals whose Personal Data is processed.
If you do not agree to these Terms, you must not access or use the Services.

3. Eligibility
The Services are intended solely for legitimate Managed Service Providers.
By using the Services, you represent and warrant that:
- You have authority to enter into these Terms on behalf of your organization.
- All information provided during registration is accurate and complete.
- You will keep your account information accurate and up to date.
- You will use the Services only for lawful business purposes.
4. Account Approval
Every new Customer Account begins with a Free Trial. All registrations are subject to manual approval by SecuVeo. Submitting an application does not guarantee access. SecuVeo may approve or reject an application at its discretion, including for suspected fraud, inaccurate information, duplicate registration or failure to meet the eligibility requirements.
During approval of new Free Trial Accounts, SecuVeo identifies UK and EU/EEA Customers that must complete a Data Transfer Agreement. The EEA includes the European Union, Iceland, Liechtenstein and Norway. Approval of a flagged Account permits access to the mandatory first-login agreement process only. Before accessing the platform, the Customer’s authorized representative must enter the required company and representative details and expressly accept the applicable Data Transfer Agreement. The platform, customer-data imports and integrations remain unavailable until that process and any required SecuVeo review are complete.
SecuVeo assigns the first-login Data Transfer Agreement based on the Customer’s declared headquarters location: the UK agreement for UK Customers and the EU/EEA agreement for EU/EEA Customers. The Customer must notify SecuVeo at legal@secuveo.com before beginning processing that requires additional regional transfer safeguards not covered by its assigned agreement. SecuVeo will arrange the applicable additional or combined agreement before affected processing begins. This notification obligation applies to all Customers, regardless of headquarters location.
Free Trial duration is governed by Section 5.
5. Free Trial
Every approved Customer Account automatically begins with a 30-day Free Trial. Access to the platform and use of the trial features remain subject to completion of any mandatory Data Transfer Agreement process under Section 4.
The Free Trial allows prospective Customers to evaluate the Services before purchasing a Subscription.
No credit card is required to create an Account or begin the Free Trial.
The Free Trial currently includes:
- Full access to the SecuVeo platform.
- Access for thirty (30) days.
- The ability to create and send up to two (2) Security Review Reports.
Unused Trial days or reports have no monetary value.
Customers may purchase a Subscription at any time during the Free Trial through the Subscription section of the SecuVeo platform.
If a Subscription is purchased during the Free Trial, the Subscription will commence immediately unless otherwise stated during checkout.
If a Subscription is not purchased before the Free Trial expires:
- The Customer Account will remain active.
- The ability to create or send additional Security Review Reports and access certain functionality may be restricted until a paid Subscription is purchased.
A Customer is entitled to only one Free Trial unless otherwise agreed by SecuVeo. Creating a replacement Account does not entitle the Customer to an additional Free Trial.
We reserve the right to refuse, suspend or terminate duplicate or repeat Free Trial Accounts.
SecuVeo may, at its sole discretion:
- Modify the Free Trial.
- Withdraw the Free Trial.
- Refuse Free Trial access.
- Suspend or terminate Free Trial Accounts.
- Limit the availability or functionality of the Free Trial.
6. Subscription Plans
Subscriptions are based on the number of chargeable Clients recorded within the SecuVeo platform.
For Subscription and Client limit purposes, only Active Clients are considered Chargeable Clients. Clients that are Hidden or scheduled for future deletion are excluded from the Customer’s Chargeable Client count.
New Security Reviews may only be created for Active Clients. Clients that are Hidden or scheduled for future deletion cannot have new Security Reviews created, but their existing Security Reviews and Reports will remain accessible in accordance with the Services and applicable data retention arrangements.
Where a Hidden or scheduled for future deletion Client is made Active again, that Client will become chargeable and may trigger a Subscription plan change in accordance with Section 6.1.
Removing or deleting a Client from a connected PSA, or the Client otherwise ceasing to be returned through PSA synchronization, does not automatically change that Client’s status or Chargeable Client classification within SecuVeo.
Current Subscription tiers are:
| Plan | Managed Clients |
| Starter | 1–50 Clients |
| Growth | 51–150 Clients |
| Scale | 151–300 Clients |
Enterprise plans are available for Customers managing more than 300 Clients.
Unless otherwise stated, every Subscription includes:
- Unlimited Users.
- Unlimited Security Review Reports.
Current Subscription pricing is published on the SecuVeo website and may only be amended in accordance with these Terms.
Subscriptions are available with Monthly Billing or Annual Billing.
Annual Billing provides a discounted Subscription fee in exchange for payment of the full annual amount in advance.
The applicable Subscription fee, billing frequency, annual discount and total amount payable will be displayed during checkout and confirmed before payment.
All standard Subscription plans include the same core features and functionality, with Subscription tiers determined by the number of Chargeable Clients permitted under each plan.
6.1 Client Limits
SecuVeo determines the applicable Subscription plan based on the number of Chargeable Clients recorded within the platform, calculated in accordance with Section 6 above.
If the Customer’s Chargeable Client count exceeds the limit of their current Subscription plan, the Subscription will be automatically upgraded to the appropriate Subscription tier.
If the Customer’s Chargeable Client count subsequently falls below the limit of their current Subscription plan, the Subscription will be automatically downgraded to the appropriate Subscription tier.
Customers may also manually request an upgrade or downgrade to an eligible Subscription tier through the Services, where supported. The selected plan must accommodate the Customer’s current number of Chargeable Clients.
The applicable Subscription plan and Subscription fee will take effect from the date the relevant Client threshold is exceeded or falls below the applicable limit, or from the date a manual plan change is confirmed.
Subscription upgrades and downgrades do not commence a new twelve (12) month Subscription term. The Customer’s existing contractual renewal date remains unchanged.
Any applicable billing adjustments or credits resulting from a Subscription plan change will be calculated and applied in accordance with Section 6.2.
6.2 Subscription Plan Changes and Billing Adjustments
Where a Subscription is upgraded or downgraded, whether automatically or through a manual plan change, the new Subscription plan will take effect immediately without changing the Customer’s existing contractual renewal date.
Any applicable charges or credits will be calculated proportionately using the remaining period of the Customer’s current billing cycle.
For Customers using Monthly Billing, prorated charges or credits will be calculated based on the remaining portion of the current monthly billing period.
For Customers using Annual Billing, prorated charges or credits will be calculated based on the remaining portion of the current prepaid annual billing period.
Where an upgrade results in an additional amount payable, the applicable prorated difference will be charged to the Customer.
Where a downgrade results in a credit, the applicable amount will be retained on the Customer’s Account and applied against future Subscription invoices, including renewal charges.
Credits arising from Subscription plan changes will be applied to future Subscription charges and are not refundable or transferable, except where the Customer is entitled to a refund of unused prepaid fees under these Terms or applicable law requires otherwise.
A Subscription plan change alone does not entitle the Customer to a cash refund of previously paid Subscription fees. This does not affect any separate refund right expressly provided under these Terms or required by applicable law.
Any applicable charges, credits and revised Subscription fees will be reflected in the Customer’s billing records.
6.3 Fair Use
Customers must use the Services and Subscription functionality in good faith and in accordance with their intended purpose.
SecuVeo reserves the right to review account activity where there are reasonable grounds to suspect that Subscription limits or billing arrangements are being deliberately circumvented.
Where misuse is identified, SecuVeo may require the Customer to regularize their Subscription, apply the appropriate Subscription tier, or take other reasonable action in accordance with these Terms.
Legitimate Client management activities will not, by themselves, constitute misuse.
7. Subscription Term
Unless otherwise agreed in writing, every paid Subscription is entered into for a minimum term of twelve (12) months.
Customers may select Monthly Billing or Annual Billing. The selected billing frequency determines when Subscription fees are collected and does not alter the minimum twelve (12) month Subscription commitment.
Subscriptions automatically renew for successive twelve (12) month terms unless cancelled in accordance with these Terms.
SecuVeo will provide written notice by email at least forty-five (45) days before each Subscription renewal. The notice will state the renewal date, the applicable Subscription plan and price, and the deadline and method for cancelling renewal.
For Customers using Monthly Billing, Subscription fees will be collected monthly in advance throughout each Subscription term.
For Customers using Annual Billing, the applicable annual Subscription fee will be collected in advance at the commencement of each Subscription term.
Monthly Billing is a payment schedule, not a month-to-month Subscription. By selecting Monthly Billing, the Customer commits to paying the applicable monthly fees for the full twelve (12) month Subscription term, subject to any express right to terminate early under these Terms.
Where a Subscription plan is upgraded or downgraded, the existing twelve (12) month Subscription term and contractual renewal date will remain unchanged, in accordance with Sections 6.1 and 6.2.
8. Billing
Subscription fees are payable in advance according to the Customer’s selected billing frequency.
Customers selecting Monthly Billing will be charged monthly in advance throughout their applicable Subscription term.
Customers selecting Annual Billing will be charged the full annual Subscription fee in advance at the commencement of each twelve (12) month Subscription term.
Annual Billing fees reflect the applicable discounted annual price displayed during checkout.
By purchasing a Subscription, the Customer authorizes SecuVeo and its designated payment processor to collect all applicable Subscription fees, including recurring payments, renewal charges and billing adjustments arising from Subscription plan changes.
Customers are responsible for ensuring that their payment information remains valid and up to date.
Any available Subscription credit will be applied against applicable Subscription charges in accordance with Section 6.2.
Subject to the non-payment process in Section 8.2, failure to pay any Subscription fee when due may result in:
- Suspension of the Services.
- Restriction of access.
- Downgrading of functionality.
- Termination of the Subscription.
Suspension or restriction resulting from non-payment does not remove the Customer’s obligation to pay outstanding Subscription fees.
Customers remain responsible for all applicable taxes, duties and governmental charges unless otherwise stated.
The applicable Subscription fee, billing frequency and total amount payable will be displayed during checkout before payment is confirmed.
8.1 Billing Frequency
The Customer selects Monthly Billing or Annual Billing when purchasing their initial Subscription.
Customers may request a change between Monthly Billing and Annual Billing through the Services, where supported.
Any requested change in billing frequency will take effect at the commencement of the Customer’s next twelve (12) month Subscription term, on their existing contractual renewal date.
Until that date, the Customer’s current billing frequency and payment arrangements will remain unchanged.
The revised billing frequency and applicable Subscription fee will apply from the next Subscription term. Customers selecting Annual Billing will be charged the applicable annual Subscription fee in advance, while Customers selecting Monthly Billing will continue to be charged monthly in advance.
A billing frequency change does not require the Customer to create a new Account or Subscription and does not affect their existing Users, Clients, Security Reviews, Reports or historical records.
Customers may amend or cancel a scheduled billing frequency change before it takes effect, where supported by the Services.
Any available Subscription credit will be applied against future Subscription charges in accordance with Section 6.2.
8.2 Failed Payments, Suspension and Termination
If a Subscription payment fails, Stripe may retry the payment and the Customer may receive payment-recovery communications. A first failed payment does not itself start the Unpaid-status timetable described below.
When Stripe marks the Subscription as “Unpaid” after its payment-recovery retries are exhausted, the Customer’s Users cannot create new Security Review Reports, and MSP Admins see a dashboard payment warning. Existing records remain accessible while login access remains available, subject to these Terms.
If the Subscription remains Unpaid for thirty (30) days after it first enters that status, SecuVeo sends a Payment Final Notice email and flags the Account for termination review. The notice gives the Customer at least seven (7) days to resolve the outstanding payment. New Security Review creation remains restricted during this period.
Once at least seven (7) days have elapsed after the Payment Final Notice, and payment remains unresolved, a SecuVeo Admin may manually suspend the Account. Suspension sends the Account Suspended Final Notice email and prevents all Customer Users from logging in. Suspension is not automatic when the notice period expires and does not itself delete Customer Data or cancel the Stripe Subscription.
During suspension, the Customer may contact SecuVeo Support to request copies of its Security Review Reports or other records before the Account is terminated, as described in Section 42 and the DPA. This does not restore login access.
Once at least thirty (30) days have elapsed after suspension, and payment remains unresolved, a SecuVeo Admin may manually terminate the Account and cancel its Stripe Subscription. Following termination, a SecuVeo Admin may separately initiate deletion of the MSP Account and associated live Customer Data in accordance with the DPA, with separately authorized PDF archives and temporary backup copies handled under DPA Sections 12.2 and 12.3. Termination and deletion are separate manual actions; neither occurs automatically when this period expires.
SecuVeo may extend the payment-recovery period or agree alternative payment arrangements. If the outstanding payment is resolved before termination, SecuVeo will remove the payment-related restrictions, restore login access where it was suspended, and continue the existing Subscription without starting a new Subscription term.
Restriction, suspension and termination do not waive payment obligations already incurred under these Terms. Any fees claimed remain subject to these Terms and applicable law. The non-payment timetable in this Section does not prevent earlier suspension or termination for a separate security, fraud, unlawful-use or other non-payment-independent ground under Sections 40 or 41. Any requirement under the DPA or applicable law to suspend processing, return data or delete data remains applicable.
9. Pricing Changes
SecuVeo may review and amend its published Subscription pricing no more than once in any calendar year.
We will provide written notice by email at least forty-five (45) days before revised pricing takes effect. The notice will state the Customer’s current price, the revised price, and the deadline and method for cancelling renewal.
Any revised Subscription pricing will apply only from the commencement of the Customer’s next Subscription term, regardless of whether the Customer uses Monthly Billing or Annual Billing.
Pricing changes will not affect Subscription fees applicable to the current Subscription term.
This does not prevent billing adjustments arising from automatic or manual Subscription plan upgrades or downgrades in accordance with Sections 6.1 and 6.2.
If you do not agree to the revised pricing, you may cancel your Subscription before renewal in accordance with these Terms.
Continued use of the Services following the effective date of revised pricing constitutes acceptance of the updated Subscription fees.
10. Promotional Discounts & Vouchers
SecuVeo may offer promotional discounts, vouchers or special pricing from time to time.
The standard discount associated with Annual Billing forms part of SecuVeo’s published Subscription pricing and is not considered a promotional discount or voucher.
Unless expressly stated otherwise, promotional discounts and vouchers cannot be combined with other promotional offers.
Where a promotional discount is applicable to an Annual Billing Subscription, the discount will be calculated against the applicable annual Subscription price, subject to the conditions of the relevant promotional offer.
Unless expressly stated otherwise:
- Promotional discounts and vouchers apply for the period specified at the time of issue.
- Discounts continue for their full promotional period regardless of any Subscription plan upgrade or downgrade during that period.
- Where a Subscription plan changes, the promotional discount will automatically be applied to the published price of the new Subscription plan for the remainder of the promotional period.
- Once the promotional period expires, the standard published price for the Customer’s current Subscription plan will apply.
- Discounts and vouchers have no cash value, are non-transferable and may not be exchanged for credit or refunds.
- Only one promotional discount or voucher may be applied to a Subscription unless expressly stated otherwise.
- SecuVeo reserves the right to withdraw or refuse promotional offers where fraud, abuse or misuse is suspected.
11. Cancellation
Customers wishing to cancel their Subscription must submit a cancellation request by creating a Support Ticket within the SecuVeo platform or by sending an email to legal@secuveo.com at least thirty (30) days before the end of the current Subscription term.
Cancellation takes effect at the end of the current Subscription term.
Customers will retain access to the Services until that date, subject to compliance with these Terms.
For Customers using Monthly Billing, cancellation does not remove the obligation to pay any remaining monthly Subscription fees due during the current Subscription term.
For Customers using Annual Billing, ordinary cancellation at the end of the Subscription term does not entitle the Customer to a refund of prepaid Subscription fees. This does not affect any express right to a refund under these Terms.
Subscriptions cancelled in accordance with this Section will not automatically renew.
Any remaining Subscription credit will be applied against outstanding Subscription charges. Unused credit is not refundable or transferable, except where the Customer is entitled to a refund of unused prepaid fees under these Terms or applicable law requires otherwise.
Except where these Terms expressly provide a right to a refund, no refunds will be provided for unused Subscription periods unless required by applicable law.
Failure to use the Services does not cancel a Subscription or remove the Customer’s obligation to pay applicable Subscription fees.
Free Trial Customers may request account termination by submitting a Support Ticket or by sending an email to legal@secuveo.com.
Customers should download Security Review Reports and Report Compliance Records and export Audit Log data they wish to retain while platform access is available. If login access is suspended for non-payment, the Customer may contact SecuVeo Support before Account termination to request copies of available reports or other records, as described in Section 42. These arrangements do not limit return or deletion rights under the DPA or applicable law.
Customer Data will be deleted in accordance with the SecuVeo Data Processing Agreement.
Termination of the Services does not affect any outstanding payment obligations that arose before termination.
12. User Accounts & Customer Responsibilities
Customers are responsible for:

15.1 Security Framework Alignment
The Services may provide alignment between SecuVeo-supplied Security Review Items and recognized cybersecurity frameworks, including the NIST Cybersecurity Framework (NIST CSF 2.0) and Cyber Essentials.
Framework alignment is provided for guidance and informational purposes only. It does not constitute a complete framework assessment, compliance assessment, certification, or confirmation that any framework requirement has been satisfied.
Alignments are determined by SecuVeo based on the original name, description, and intended scope of the relevant Security Review Item. Where a Customer modifies an Item, the associated alignment may no longer accurately reflect its meaning or applicability.
SecuVeo may review, update, add, or remove framework alignments from time to time to reflect changes to the Product Library or relevant frameworks.
Customers remain solely responsible for reviewing the accuracy and applicability of framework references included in their Security Reviews and for ensuring that any compliance-related statements made to their Clients are appropriately supported.

The Services may allow Customers to configure default Security Review frequencies and reminder settings for their Clients.
Customers remain solely responsible for:
- Selecting an appropriate Security Review frequency for each Client.
- Configuring and maintaining reminder settings.
- Ensuring reminder email addresses are accurate and up to date.
- Reviewing and updating Security Review schedules where appropriate.
Where configured, the Services may generate reminder notifications based on the Customer’s selected Security Review frequency and reminder settings.
Customers acknowledge that:
- Default Security Review frequency and reminder settings apply only to newly created Clients unless otherwise stated by the Services.
- Existing Client settings may be managed independently.
- Reminder notifications are provided solely as an organizational aid and do not guarantee that a Security Review will be completed or delivered.
- Failure to receive or act upon a reminder does not relieve the Customer of its responsibility to complete Security Reviews in accordance with its own contractual, regulatory or operational requirements.
17. Recommendations
Recommendations are intended solely to assist Customers in identifying potential security improvements.
Recommendations may be:
- Selected manually by the Customer.
- Generated automatically.
- Assisted by artificial intelligence.
- Derived from Security Review Items.
- Derived from PSA billing data.
- Derived from Microsoft Security Evidence.
- Generated through future functionality introduced by SecuVeo.
Recommendations are provided solely to assist the Customer.
Customers remain solely responsible for determining:
- Which recommendations should be included.
- Recommendation priority.
- Risk level.
- Suitability for each Client.
- Commercial advice provided to Clients.
18. AI & Automated Assistance
The Services include artificial intelligence (“AI”) and automated functionality designed to assist Customers in preparing Security Reviews and Security Review Reports.
These features may include, but are not limited to:
- AI-generated Executive Summaries.
- AI-generated Changes Since Last Review.
- Automated recommendation assistance.
- Automated PSA keyword matching.
- Automated deployment status suggestions.
- Historical comparison assistance.
- Future AI-powered functionality introduced by SecuVeo.
These features are intended solely to assist Customers and do not replace professional judgement.
Customers remain solely responsible for reviewing, validating, editing and approving all AI-generated and automatically generated content before relying upon it or sharing it with Clients.
18.1 AI Executive Summaries
Executive Summaries generated through the Services may utilise artificial intelligence together with information available within the Services at the time of generation. Customers may alternatively choose to create Executive Summaries manually without using artificial intelligence.
AI-generated content may:
- Contain inaccuracies.
- Omit relevant information.
- Include inappropriate wording.
- Misinterpret imported or synchronized information.
Customers remain solely responsible for reviewing, editing and approving every Executive Summary before it is shared with a Client.
18.2 Changes Since Last Review
The Services may use artificial intelligence to generate Changes Since Last Review summaries based on information available to the Services and differences identified between Security Reviews.
Changes Since Last Review summaries are intended solely to assist Customers and may contain inaccuracies, omissions or misinterpretations.
Customers remain solely responsible for reviewing, editing and approving every Changes Since Last Review summary before it is relied upon or shared with a Client.
18.3 AI-Assisted PSA Matching
Where a supported PSA integration is enabled, SecuVeo may import billing items, products and services from the Customer’s connected PSA platform.
SecuVeo may use artificial intelligence to recommend one or more PSA billing item names that may correspond to individual Security Review Items. Customers may select AI-generated keyword recommendations or manually create their own keyword matching rules using any keywords they choose, regardless of whether those keywords were recommended by SecuVeo.
Customers may configure one or more keyword matching rules using Exact Match, Includes and Excludes criteria. Where a configured keyword match is found against the Customer’s PSA billing data and the matched billing item has a quantity greater than zero, SecuVeo may automatically mark the associated Security Review Item as Deployed. Customers remain solely responsible for reviewing, confirming and, where necessary, modifying all automatically populated deployment statuses before generating or delivering a Security Review Report.
Customers are solely responsible for:
- Reviewing all AI-generated keyword recommendations.
- Selecting, modifying, deleting or manually creating keyword matching rules, including any Exact Match, Includes and Excludes criteria.
- Configuring the deployment status to apply when a keyword match is found.
- Configuring the fallback deployment status to apply when no keyword match is found (for example, Deployed, Partially Deployed, Not Deployed or Not Applicable).
- Reviewing all automatically populated deployment statuses.
- Determining and approving the final deployment status of every Security Review Item before generating or delivering a Security Review Report.
A successful keyword match or suggested deployment status does not confirm that:
- A product or service has been fully deployed.
- Every licensed user is protected.
- The solution has been correctly configured.
- The solution is operating correctly.
- The Client’s environment is secure.
- The Customer’s contractual, regulatory or compliance obligations have been satisfied.
Customers remain solely responsible for the accuracy of their keyword matching rules, deployment statuses, Security Review Reports and recommendations provided to their Clients.
18.4 Future AI Features
SecuVeo may introduce additional AI-powered or automated functionality from time to time.
Unless expressly stated otherwise, all AI and automated functionality provided by the Services is intended solely as decision-support assistance and does not replace the Customer’s professional judgement.
19. Security Scores
The Services may calculate Security Scores using methodologies developed by SecuVeo.
Security Scores are intended solely as indicative measurements to assist Customers in demonstrating progress over time.
Security Scores:
- Are not security certifications.
- Are not compliance certifications.
- Do not guarantee security.
- Should not be relied upon as the sole measure of a Client’s security posture.
Customers remain responsible for interpreting and explaining Security Scores to their Clients.
20. Report Delivery & Client Communication
The Services may enable Customers to deliver Security Review Reports and related communications electronically.
Customers remain solely responsible for:
- Selecting report recipients.
- Verifying recipient email addresses.
- Ensuring reports are appropriate before delivery.
- Ensuring reports are delivered only to authorized individuals.
- Confirming that intended recipients have received Security Review Reports and related communications where appropriate.
SecuVeo uses reputable third-party email delivery providers and takes reasonable steps to maximize email deliverability. However, SecuVeo does not guarantee that emails will be successfully delivered, received or placed in a recipient’s inbox.
SecuVeo is not responsible for:
- Incorrect recipient information.
- Email delivery failures outside its reasonable control.
- Spam, junk or phishing filtering.
- Recipient mailbox configuration or security policies.
- Domain, DNS, SPF, DKIM or DMARC configuration.
- Temporary outages or service interruptions affecting third-party email providers or recipient mail servers.
Customers remain responsible for monitoring report delivery and, where necessary, resending reports or using alternative communication methods to ensure intended recipients receive Security Review Reports and related notifications.
20.1 Email Settings & Custom Domains
The Services may allow Customers to configure custom email sending domains and custom web addresses (URLs) for Security Review Reports, disclaimer pages and other Customer-facing pages.
Customers remain solely responsible for:
- Configuring and maintaining their custom sending domain.
- Configuring and maintaining any custom URLs used with the Services.
- Correctly configuring DNS records required by the Services, including but not limited to SPF, DKIM, DMARC, A records and any other records specified by SecuVeo.
- Ensuring they have the necessary authority to configure and use the relevant domain names and DNS records.
- Maintaining the ongoing security, validity and availability of their configured domains and DNS records.
Incorrect or incomplete configuration may affect the availability, accessibility, security or deliverability of Security Review Reports, disclaimer pages, emails or other functionality.
SecuVeo may perform validation checks to assist Customers with configuration but does not guarantee the correctness, effectiveness or ongoing validity of any DNS configuration.
Customers acknowledge that email deliverability, report accessibility, website availability and domain reputation may be affected by factors outside SecuVeo’s reasonable control, including DNS providers, domain registrars, certificate authorities, email providers and third-party infrastructure.
SecuVeo is not responsible for any interruption, delay, failed email delivery or loss of functionality resulting from incorrect, incomplete or subsequently modified domain or DNS configurations.
21. Branding & Localization
The Services may allow Customers to configure branding, localization and presentation settings for use throughout the Services.
These settings may include, but are not limited to:
- Company name.
- Company logo.
- Branding colors.
- Time zone.
- Date format.
- Custom email sending domain.
- Custom report and disclaimer URLs.
- Other branding or localization settings made available by the Services from time to time.
Customers remain solely responsible for:
- Ensuring all branding information is accurate and up to date.
- Ensuring they have the necessary rights to use all uploaded logos, trademarks and other branding assets.
- Selecting the appropriate time zone and date format for their organization.
- Reviewing all generated Security Review Reports, Report Compliance Records and other Customer-facing content before distribution.
Customers acknowledge that the configured time zone and date format may be used throughout the Services, including but not limited to:
- Security Review Reports.
- Report Compliance Records.
- Audit records.
- Disclaimer acknowledgments.
- Report delivery records.
- Historical activity.
- Other dates and times displayed by the Services.
Customers are responsible for ensuring that the selected time zone accurately reflects their operational requirements. SecuVeo is not responsible for any misunderstanding, interpretation or reliance arising from an incorrectly configured time zone or localization setting.
22. Disclaimer Acknowledgment
The Services may require the first authorized recipient accessing a Security Review Report to acknowledge a disclaimer before the report can be viewed.
As part of the disclaimer acknowledgment process, the recipient may be required to enter the email address to which the Security Review Report was originally sent. This information is collected solely to identify the acknowledging recipient and to maintain the Security Review’s audit trail and compliance record.
Once the disclaimer has been acknowledged, other authorized recipients of the same Security Review Report may access the report without being required to acknowledge the disclaimer again.
Disclaimer acknowledgment records may include:
- Date and time.
- Email address entered by the acknowledging recipient.
- IP address.
- Browser or device information.
- Report identifier.
- Other audit information reasonably required to evidence acknowledgment.
The Services may generate a Report Compliance Record containing disclaimer acknowledgment details, report delivery information and related audit information. Customers may download this record in PDF format for their own compliance, governance and record-keeping purposes.
Disclaimer acknowledgment assists Customers in maintaining an audit trail and compliance record.
A disclaimer acknowledgment confirms only that the recipient has acknowledged receipt of and access to the Security Review Report. It does not constitute acceptance of the report’s contents, recommendations or conclusions, create any contractual obligation, or constitute an agreement to purchase any products or services.
23. Internal Tasks
The Services may allow Customers to create, assign and manage internal Tasks associated with Security Reviews.
Tasks are intended solely to assist Customers with internal planning, collaboration and follow-up activities.
Tasks:
- Do not form part of Client-facing reports.
- Are not synchronized with third-party PSA platforms unless expressly stated by the Services.
- Are not intended to replace project management, PSA or ticketing systems.
- Do not guarantee that any action will be completed, monitored or acted upon by any User.
Customers remain solely responsible for managing their own operational workflows and for ensuring that all Tasks are appropriately reviewed and completed.
24. Audit Trail
The Services maintain audit information relating to Customer activity and Security Reviews.
Audit information may include:
- Report creation.
- Report modification.
- Report generation.
- Report delivery.
- Disclaimer acknowledgment.
- User activity.
- Recommendation decisions.
- Internal Task activity.
- Policy acknowledgments.
- Other significant platform events.
Audit information is provided solely for record-keeping purposes.
25. Customer Data
Customers retain ownership of all data they upload to or create within the Services, including but not limited to:
- Client information.
- Contact information.
- Security Reviews.
- Security Review Reports.
- Templates.
- Security Review Items.
- Recommendations.
- Tasks.
- Notes.
- Security Evidence.
- Audit records.
- Branding.
- Uploaded files.
Except as expressly set out in these Terms, SecuVeo claims no ownership over Customer Data.
26. License to Process Customer Data
The Customer grants SecuVeo a worldwide, non-exclusive, royalty-free license to host, process, store, copy, transmit and otherwise use Customer Data solely for the purpose of:
- Providing the Services.
- Delivering Security Review Reports.
- Synchronizing authorized integrations.
- Providing customer support.
- Maintaining backups.
- Maintaining, securing and improving the Services.
- Detecting security incidents.
- Complying with legal obligations.
- Performing other activities reasonably necessary to operate the Services.
SecuVeo will not use Customer Data for its own commercial benefit except as reasonably necessary to provide, maintain, secure and improve the Services.
Without the Customer’s express authorization, SecuVeo will not:
- Use Customer Data to provide managed IT services or operate a competing managed service business.
- Contact or solicit the Customer’s Clients for products or services unrelated to the operation of the Services.
- Sell, rent or commercially exploit Customer Data.
- Use Customer Data to build customer lists, marketing databases or commercial profiles for SecuVeo’s own benefit.
For Customer Personal Data, this license is limited by the DPA, the Customer’s documented instructions and applicable transfer agreements. Service improvement or other general operational purposes do not authorize unrelated processing or extended retention of that Personal Data.
This license terminates when Customer Data is permanently deleted in accordance with these Terms and the Data Processing Agreement.
27. Privacy & Data Protection
The Data Processing Agreement (DPA) is incorporated into these Terms and applies whenever SecuVeo processes Personal Data on the Customer’s behalf, including during a Free Trial.
The Customer may act as a Controller for some Personal Data and as a Processor on behalf of its Clients for other Personal Data. SecuVeo acts as Processor or Sub-Processor accordingly. The Customer is responsible for having the lawful authority, instructions and any required Client authorization to submit Personal Data and appoint SecuVeo.
UK and EU/EEA Customers identified under Section 4 must complete and accept the applicable Data Transfer Agreement before platform access is enabled. The separately accepted agreement, its completed party details and its schedules form part of the DPA and these Terms. The standard DPA applies to other Customers without requiring this first-login form, subject always to any transfer safeguards required by applicable law.
Each party remains responsible for its applicable obligations. Account approval, agreement acceptance or acknowledgment of processing locations does not replace a required legal transfer mechanism or assessment. The Privacy Policy separately describes processing for which SecuVeo acts as Controller.
28. Confidentiality
Each party agrees to keep confidential all non-public information obtained from the other party in connection with the Services.
Neither party shall disclose confidential information except:
- With the other party’s consent.
- Where required by law.
- To professional advisers under confidentiality obligations.
- As reasonably necessary to provide the Services.
This obligation survives termination of these Terms.
29. Data Security
SecuVeo maintains administrative, technical and organizational measures designed to protect Customer Data.
For Customer Personal Data, SecuVeo maintains the measures required by DPA Section 7 and any applicable accepted transfer agreement, including its technical and organizational measures schedule. The description below does not reduce those obligations.
Security measures may include:
- Encryption in transit.
- Encryption at rest.
- Multi-Factor Authentication (MFA).
- Role-based access controls.
- Audit logging.
- Infrastructure and security monitoring.
- Vulnerability management.
- Security patching.
- Automated encrypted backups.
- Point-in-Time Recovery (PITR).
- Disaster recovery procedures.
- Backup integrity testing.
Security measures are reviewed and may be updated from time to time to reflect evolving threats, technological developments and improvements to the Services.
No Internet-connected service can guarantee absolute security.
Customers acknowledge that no security measures eliminate all risk.
30. Third-Party Services
The Services may integrate with, rely upon or make available functionality provided by third-party services including, but not limited to:
- Microsoft
- HaloPSA
- ConnectWise PSA
- Stripe
- Amazon Web Services (AWS)
- Anthropic
- Intuit Mailchimp / Mandrill
- Verisys by Ionx Solutions
- Google Analytics
- Calendly
Third-party providers operate independently of SecuVeo and are subject to their own terms, policies and service availability.
SecuVeo is not responsible for the availability, performance, security, accuracy or functionality of any third-party products or services, including any outages, API changes, licensing changes, service interruptions or other events affecting those services.
Customers acknowledge that changes made by third-party providers may affect the availability or operation of certain features of the Services, and SecuVeo shall not be liable for any resulting interruption, limitation or loss of functionality.
This Section does not exclude responsibility for SecuVeo’s own breach of these Terms or the Data Processing Agreement.
31. Availability
SecuVeo will use commercially reasonable efforts to maintain the availability of the Services.
However, uninterrupted availability cannot be guaranteed.
The Services may occasionally be unavailable due to:
- Planned maintenance.
- Emergency maintenance.
- Security updates.
- Infrastructure failures.
- Third-party outages.
- Internet connectivity issues.
- Force majeure events.
- Circumstances beyond SecuVeo’s reasonable control.
No service level agreement (SLA) applies unless separately agreed in writing.
32. Backups & Disaster Recovery
SecuVeo maintains automated backup and disaster recovery processes designed to support business continuity and restoration of the Services following a significant operational or infrastructure event.
These measures may include:
- Automated encrypted platform backups.
- Point-in-Time Recovery (PITR).
- Geographically separate backup storage.
- Periodic backup integrity and recovery testing.
These capabilities are intended solely to support disaster recovery and restoration of the Services.
Backup and disaster recovery systems are not intended to provide:
- Customer archiving.
- Historical data retrieval on demand.
- Recovery of individual records deleted by the Customer.
- A substitute for the Customer’s own record retention or backup processes.
Customers should regularly download Security Review Reports and Report Compliance Records and export Audit Log data they need to retain while platform access is available. Support requests during suspension and data return or deletion when the Services end are governed by Section 42 and the DPA. Those arrangements do not create an obligation to recover individual records from disaster-recovery backups or restore platform access.
33. Support
Technical support is provided through the SecuVeo Support Portal.
Support includes reasonable assistance relating to:
- Use of the Services.
- Bugs.
- Platform errors.
- General usage questions.
Support does not include:
- Cybersecurity consulting.
- IT consulting.
- Microsoft administration.
- PSA administration.
- Custom software development.
- Bespoke integrations.
- Professional services.
33.1 Support Hours & Response Times
SecuVeo’s staffed support hours are 08:00 to 19:00 UTC, Monday through Friday.
Support Tickets may be submitted at any time.
SecuVeo will provide an initial response within one (1) business day of submission. For this commitment, business days are Monday through Friday, measured in UTC. The initial response will be provided no later than 19:00 UTC on the next business day following submission.
This commitment applies to the initial response only and does not guarantee resolution within that period.
Support requests are prioritized at SecuVeo’s sole discretion, taking into account factors including severity, security impact, operational impact and overall business priorities.
These support hours and response times do not extend or limit SecuVeo’s security-incident or Personal Data breach obligations under the DPA, applicable transfer agreements or applicable law.
34. Support Tickets & Account Impersonation
The Services include an in-platform Support Ticket system through which Customers may request technical support and communicate with SecuVeo.
Customers remain solely responsible for ensuring that information submitted within Support Tickets is accurate and appropriate.
Support Tickets, attachments and related communications may be retained by SecuVeo for support, security, quality assurance, audit and record-keeping purposes. Customer Personal Data supplied for processing on the Customer’s behalf remains subject to the DPA’s purpose and retention limits; this clause does not independently extend its retention. SecuVeo’s own support-administration records are addressed separately in the Privacy Policy.
Where reasonably necessary to investigate reported issues, fulfil a support request or maintain the Services, authorized SecuVeo personnel may access a Customer’s Account using secure account impersonation functionality.
Impersonation access is strictly limited to authorized personnel and is used solely for legitimate support, maintenance and operational purposes.
Impersonation activity may be recorded within the Services and may include:
- The authorized SecuVeo representative.
- The Customer Account accessed.
- Date and time of access.
- Actions performed during the impersonation session.
- Other audit information reasonably required for security and compliance purposes.
Where supported by the Services, Customers may be notified when an authorized SecuVeo representative is accessing their Account using impersonation functionality.
Customers acknowledge that authorized SecuVeo personnel may temporarily access Customer Data solely to the extent reasonably necessary to investigate or resolve the reported issue and remain subject to appropriate confidentiality obligations.
35. Intellectual Property
The Services, including but not limited to:
- Software
- Source code
- User interface
- Branding
- Logos
- Documentation
- Security scoring methodology
- Report layouts
- Platform design
- AI prompts
- Product Library
- Templates supplied by SecuVeo
- Other intellectual property
remain the exclusive property of MSP SecureView LLC-FZ or its licensors.
Nothing within these Terms transfers ownership of SecuVeo intellectual property to the Customer.
36. Acceptable Use
Customers must not:
- Use the Services unlawfully.
- Attempt unauthorized access.
- Reverse engineer the Services except where permitted by law.
- Copy or resell the Services.
- Upload malicious software.
- Attempt to interfere with the Services.
- Use the Services to infringe third-party rights.
- Attempt to bypass licensing restrictions.
- Use automated tools to scrape or extract platform data without authorization.
SecuVeo may suspend or terminate access where these Terms are breached.
37. Beta Features
From time to time, SecuVeo may make Beta, preview or early access functionality available.
Beta features are provided for evaluation purposes.
Beta features may:
- Change without notice.
- Be withdrawn.
- Produce inaccurate results.
- Contain defects.
Customers use Beta functionality entirely at their own risk.
38. Disclaimer of Warranties
Except as expressly stated in these Terms, the Services are provided “as is” and “as available.”
To the fullest extent permitted by law, SecuVeo disclaims all warranties, whether express, implied or statutory, including but not limited to:
- Merchantability.
- Fitness for a particular purpose.
- Non-infringement.
- Continuous availability.
- Accuracy.
- Completeness.
- Security.
- Compatibility.
SecuVeo does not warrant that:
- The Services will operate without interruption.
- The Services will be error-free.
- AI-generated content will be accurate.
- Security Reviews will identify every risk.
- Microsoft Graph, Microsoft Exchange Online, Microsoft Purview or PSA integrations will always be available.
- Security Evidence will always be complete.
39. Limitation of Liability
To the fullest extent permitted by applicable law, neither party will be liable to the other for indirect, incidental, special or consequential damages, or for loss of profits, revenue, business or goodwill arising out of or relating to the Services. This exclusion does not apply to amounts payable to third parties under either party’s indemnity obligations in Section 44.
SecuVeo is not responsible for the Customer’s professional judgments, advice to Clients, selection of report recipients, or decisions made using Security Reviews, Security Evidence, AI-generated content or recommendations. The Customer remains responsible for reviewing and approving reports and related communications before delivery.
Except for claims subject to the special caps in the following two paragraphs and the payment obligations described below, each party’s total aggregate liability arising out of or relating to these Terms or the Services will not exceed the Subscription fees paid or payable by the Customer during the twelve (12) months immediately preceding the event giving rise to the claim.
For claims arising directly from SecuVeo’s breach of its confidentiality obligations, its obligations to protect Customer Data under the Data Processing Agreement, or its indemnity obligations under Section 44, SecuVeo’s total aggregate liability will not exceed the greater of US$50,000 or two (2) times the Subscription fees paid or payable during the twelve (12) months immediately preceding the event giving rise to the claim.
The Customer’s total aggregate liability for its indemnity obligations under Section 44 will not exceed the greater of US$50,000 or two (2) times the Subscription fees paid or payable during the twelve (12) months immediately preceding the event giving rise to the claim.
The liability limits in this Section do not limit the Customer’s obligation to pay Subscription fees, applicable taxes, and billing adjustments due under Sections 6 through 10.
SecuVeo is not liable for an incident to the extent it was caused by the Customer, its Users, its Clients, or a third-party service outside SecuVeo’s reasonable control. This does not exclude liability to the extent the incident was caused by SecuVeo’s breach of its obligations under these Terms or the Data Processing Agreement.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited. The limitations and exclusions in these Terms do not override or restrict liability, compensation rights or remedies under the EU Standard Contractual Clauses or UK Addendum incorporated into the DPA, including rights of Data Subjects and the parties under those instruments.
40. Suspension of Services
SecuVeo may immediately suspend all or part of the Services where reasonably necessary to:
- Protect the security or integrity of the Services.
- Prevent fraud or unlawful activity.
- Respond to a security incident.
- Perform emergency maintenance.
- Comply with applicable law.
- Protect other Customers.
- Investigate suspected breaches of these Terms.
- Respond to requests from competent legal or regulatory authorities.
Where reasonably practicable, SecuVeo will notify the Customer before or shortly after any suspension.
Suspension for non-payment follows Section 8.2. A suspension that blocks login does not itself terminate the Subscription or delete Customer Data. The Customer’s payment obligations remain governed by these Terms. Requests for copies of records during non-payment suspension are governed by Section 42 and the DPA.
41. Termination
Either party may terminate these Terms where the other party commits a material breach and fails to remedy that breach within fourteen (14) days of receiving written notice. Termination solely for non-payment follows Section 8.2; this fourteen-day breach procedure does not shorten that timetable.
If the Customer terminates because of SecuVeo’s uncured material breach, SecuVeo will refund prepaid fees for the unused portion of the Subscription term and will not charge remaining monthly fees for that term.
SecuVeo may terminate the Services immediately where:
- The Customer commits fraud.
- The Customer intentionally compromises the security of the Services.
- Continued provision of the Services would be unlawful.
- Subscription fees remain unpaid and the manual non-payment termination conditions in Section 8.2 have been met, including at least thirty (30) days having elapsed after Account suspension.
- The Customer repeatedly breaches these Terms.
- Continued provision of the Services presents a security, operational or legal risk.
Termination does not affect:
- Any accrued rights.
- Outstanding payment obligations.
- Clauses intended to survive termination.
42. Effect of Suspension, Expiration or Termination
Suspension that blocks login, Subscription expiration and Account termination are distinct events. Login access ends when the Account is suspended in accordance with these Terms. Upon Subscription expiration or Account termination, the Customer has no contractual right to continued platform access.
Customers should download Security Review Reports and Report Compliance Records and export Audit Log data they wish to retain while platform access is available.
If an Account is suspended for non-payment, the Customer may contact SecuVeo Support before Account termination to request copies of its Security Review Reports or other records. SecuVeo will verify the requester’s identity and authority and arrange secure delivery of available records where reasonably practicable and subject to applicable law. This does not restore login access or promise a custom export, a particular format, or retrieval from disaster-recovery backups. Any mandatory obligation to return Personal Data under the DPA remains unaffected.
For non-payment, Account termination may be initiated manually only after the period specified in Section 8.2. Cancellation of the Stripe Subscription occurs as part of that termination action. Deletion of the MSP Account and associated live Customer Data is a separate manual administrative action following termination. Encrypted backups and any separately authorized PDF recovery archive are handled under Sections 12.2 and 12.3 of the DPA. Account deletion does not promise immediate erasure of those separately retained copies.
When processing Services end, the Customer’s choice of return or deletion of Personal Data is governed by the DPA. A request made before termination will be handled before the relevant data is deleted. Contractual export deadlines do not extinguish rights that continue under the DPA, the incorporated transfer clauses or applicable law. Secure return of data does not restore platform access. Following live Account deletion, the Customer may request copies of retained Security Review Report PDFs through Support during the limited archive period in DPA Section 12.3, or request deletion of those archive copies at any time. Report Compliance Record PDFs are excluded from that archive. This service does not provide recovery of those compliance records or other files and records deleted with the live Account.
Accrued payment obligations and the following provisions survive expiration or termination to the extent applicable:
- Confidentiality.
- Intellectual Property.
- Limitation of Liability, subject to the DPA and incorporated transfer clauses.
- Indemnity.
- Governing Law, subject to the DPA and incorporated transfer clauses.
- Data return, deletion, lawful retention and applicable international-transfer obligations for as long as relevant data remains held.
- Any provision which by its nature is intended to survive termination.
43. Force Majeure
Neither party shall be liable for any delay or failure to perform its obligations where such delay or failure results from events beyond its reasonable control.
These events may include:
- Natural disasters.
- Fire.
- Flood.
- War.
- Terrorism.
- Civil unrest.
- Government action.
- Pandemic.
- Internet failure.
- Utility failure.
- Cyberattack.
- Failure of third-party providers.
- Microsoft service disruption.
- AWS service disruption.
- Other events beyond reasonable control.
The affected party shall use reasonable efforts to resume performance as soon as practicable.
44. Indemnity
The Customer will defend SecuVeo against a third-party claim arising from: (a) Customer Data that infringes a third party’s intellectual property rights; (b) the Customer’s unlawful use of the Services or material breach of these Terms; (c) a Security Review Report, advice or recommendation issued by the Customer to a Client; or (d) the Customer’s failure to obtain required authorization from a Client before connecting its systems or processing its data, except in each case to the extent the claim was caused by SecuVeo’s breach of these Terms. The Customer will pay damages and reasonable costs finally awarded against SecuVeo, or agreed in a settlement approved by the Customer, arising from such a claim.
SecuVeo will defend the Customer against a third-party claim alleging that the Services, when used as authorized under these Terms, infringe that third party’s intellectual property rights. SecuVeo will pay damages and reasonable costs finally awarded against the Customer, or agreed in a settlement approved by SecuVeo, arising from such a claim.
SecuVeo’s obligation does not apply to a claim caused by Customer Data, modification of the Services by someone other than SecuVeo, use of the Services contrary to these Terms, or combination with a product or service not supplied or authorized by SecuVeo where the claim would not otherwise have arisen.
A party seeking indemnity must promptly notify the other party of the claim, provide reasonable cooperation at the other party’s expense, and allow the defending party to control the defense and settlement. The defending party may not agree to a settlement that admits fault by, or imposes a non-monetary obligation on, the other party without that party’s prior written consent, which will not be unreasonably withheld.
45. Assignment
The Customer may not assign, transfer or otherwise dispose of any rights or obligations under these Terms without the prior written consent of SecuVeo.
SecuVeo may assign or transfer these Terms as part of:
- A corporate reorganization.
- A merger.
- An acquisition.
- A sale of assets.
- Any other legitimate business transaction.
46. Entire Agreement
These Terms, together with the Privacy Policy, Data Processing Agreement (“DPA”) and any documents expressly incorporated by reference, constitute the entire agreement between the parties regarding the Services.
They supersede all previous agreements, discussions, representations and understandings relating to the Services.
If there is any conflict between these Terms, the Data Processing Agreement and the Privacy Policy, the documents shall apply in the following order of precedence:
- The EU Standard Contractual Clauses and UK Addendum incorporated into the DPA, to the extent applicable and as their own precedence rules require;
- The remainder of the DPA for processing within its scope;
- These Terms; and
- The Privacy Policy as the applicable privacy notice.
47. Product Roadmap
The Services may include a Product Roadmap or other information describing planned, proposed or future functionality.
Roadmap information is provided solely for informational purposes and does not constitute a commitment, warranty or contractual obligation to develop, release or maintain any particular feature, functionality, integration or release date.
SecuVeo may, at its sole discretion:
- Modify roadmap items.
- Change priorities.
- Delay or accelerate development.
- Remove planned features.
- Introduce new features.
- Change estimated release dates.
Customers should make purchasing and business decisions based on the functionality currently available within the Services and not on planned or future functionality.
48. Changes to the Services
SecuVeo continually develops and improves the Services.
All standard Subscription plans include the same core SecuVeo feature set, with Subscription tiers determined by the number of Chargeable Clients permitted under each plan. Additional functionality, integrations or services may be introduced, modified or withdrawn from time to time in accordance with these Terms.
Accordingly, we may:
- Add features.
- Remove features.
- Modify functionality.
- Introduce new integrations.
- Change user interface elements.
- Improve AI functionality.
- Expand Microsoft Graph, Microsoft Exchange Online or Microsoft Purview capabilities.
- Introduce additional security evidence providers.
Changes to the Services do not, by themselves, constitute a breach of these Terms. SecuVeo will not materially reduce the core functionality of a paid Subscription during its current Subscription term without providing at least thirty (30) days’ advance written notice, except where an earlier change is reasonably necessary for security, legal compliance or circumstances outside SecuVeo’s reasonable control.
If a change materially reduces core functionality that the Customer uses and SecuVeo does not provide substantially equivalent functionality, the Customer may terminate the affected Subscription by notifying SecuVeo within thirty (30) days after the change takes effect. SecuVeo will refund prepaid fees for the unused portion of the terminated Subscription term and will not charge remaining monthly fees for that term.
49. Policy Centre
The Services include a Policy Center for accessing the standard Terms of Service, Privacy Policy, DPA and other applicable policies and notices.
Where the Customer has completed and accepted a Data Transfer Agreement, its completed agreement is also available there for viewing and download, including its entered party details, applicable agreement version and acceptance date. SecuVeo retains the corresponding acceptance evidence internally.
Current standard policies may be updated subject to the applicable notice and change provisions. Publishing a new version does not rewrite a previously accepted Data Transfer Agreement or its completed details. Updates to transfer arrangements shall follow that agreement and applicable law. SecuVeo may also notify Customers by email or through the Services.
50. Changes to these Terms
SecuVeo may amend these Terms from time to time.
SecuVeo may provide notice of updates through the Policy Centre, by email, or through the Services. Where a change materially and adversely affects the Customer’s rights or obligations during a current Subscription term, the email notice and termination rights stated below apply.
Where required by the Services, Customers may be required to review and acknowledge updated Terms or other policies before continuing to use all or part of the Services.
Where acknowledgment is not required, continued use of the Services after the revised Terms become effective constitutes acceptance of the updated Terms.
If a change to these Terms materially and adversely affects the Customer’s rights or obligations during a current Subscription term, SecuVeo will provide at least thirty (30) days’ advance written notice by email. The Customer may reject that change by notifying SecuVeo before it takes effect. In that case, the Customer may terminate the Subscription when the change takes effect, receive a refund of prepaid fees for the unused portion of the term, and will not owe remaining monthly fees for that term. Changes required sooner by applicable law or to address an urgent security issue may take effect earlier, with notice as soon as reasonably practicable.
51. Severability
If any provision of these Terms is found to be invalid, illegal or unenforceable, the remaining provisions shall continue in full force and effect.
The invalid provision shall be interpreted or replaced, where legally permitted, so that it most closely reflects the original commercial intent.
52. Waiver
Failure or delay by either party to exercise any right or remedy under these Terms shall not constitute a waiver of that right or remedy.
Any waiver must be in writing and signed by the party granting it.
53. Notices
Any notices relating to these Terms may be provided:
- By email.
- Through the SecuVeo platform.
- Through the Customer Account.
- By any other reasonable electronic means.
Customers are responsible for ensuring their contact details remain accurate.
54. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Dubai International Financial Centre (“DIFC”).
Nothing in this Section overrides the governing-law, court-jurisdiction, supervisory-authority or Data Subject rights provisions of those transfer instruments.

56. Acceptance
By expressly accepting these Terms through the recorded Account-registration process, the Customer agrees to these Terms and the incorporated DPA. The accepting person confirms that they have read the documents and are authorized to bind the Customer. The Privacy Policy is acknowledged as a notice.
Where a Data Transfer Agreement is required under Section 4, it is presented and accepted separately through the mandatory first-login process before platform access is enabled. Its acceptance is recorded with the Customer’s completed details and applicable document versions. Account registration alone does not constitute acceptance of that separate agreement.
SecuVeo agrees to be bound by the Terms and DPA through its offer of those documents and acceptance of the Customer’s registration, acting through Luis Navarro, Founder, as its authorized representative. Execution of a separate Data Transfer Agreement is governed by that agreement. SecuVeo retains who accepted, when and the applicable agreement versions.
